The Elmore County Commissioners met in special session on the above date in the Commissioner’s Room, basement of the Elmore County Courthouse, 150 South 4th East, Mountain Home, Idaho.

Present at the meeting were Chairperson Mary Egusquiza-Stanek, Commissioners Calvin Ireland and Larry Rose. Also present was Prosecutor Aaron Bazzoli and Deputy Clerk Barbara Steele.

The purpose of this special session was to meet regarding the Ambulance Request for Proposal (RFP).

The Commissioners discussed non emergency transports such as transfers from one hospital to another and decided it is not a necessary requirement of the ambulance service, and will not be included in the RFP. However, the Request for proposal will encourage the ambulance service to attend the Fair, Rodeo, High School Sports Events, community functions in general and points will be awarded to the ambulance services applying that will attend these functions.

Judy Devol from the Mountain Home Newspaper was also present and the Commissioners asked her if she had any suggestions. She stated she did not.

The discussion shifted to how the advertising of the RFP would be done. It was decided that the RFP would be mailed out to ambulance services in the phone book including NW Paramedics and other ambulance services in the surrounding areas, mailed to St. Alphonsus Hospital, St. Lukes Hospital, published in the Mountain Home News, Idaho Statesman and The Times News paper in Twin Falls.

Motion by Egusquiza-Stanek to sign the Request for Proposal, second by Ireland, with the condition that the Clerk and Prosecutor will get together and fill in the blank dates on the Request for Proposal, for example, when the proposals must be received by.

PROPOSALS FOR ELMORE COUNTY AMBULANCE SERVICES

A. INTRODUCTION

1. PURPOSE OF RFP:

Elmore County (hereinafter referred to as the County) is requesting proposals for Ambulance Services to be provided in the County. This RFP serves as a tool to formalize a contract with a chosen provider, if any. The abbreviations “RFP” refers to request for proposals.

The County’s intent is to comply with applicable emergency medical standards; and to realize the best possible ambulance service for the county and to award a contract for a period of up to (4) years.

2. SCOPE OF RFP:

This RFP contains the instructions governing the requirements for an RFP to be submitted by interested providers, the materials to be included therein, the requirements which must be met, and the provider’s responsibilities before and after award of contract.

3. TIME:

All references to the hours of a day shall refer to mountain time of mountain daylight savings time, whichever is in effect on the relevant date.

4. PROCEDURE:

Proposals submitted pursuant to this solicitation shall be filed with the Elmore Count Clerk by hand delivery or certified mail, return receipt requested, to be received by the Clerk no later than 5:00 p.m. on the ______day of _________, 2004. Two (2) sets will be supplied at the time the RFP’s are submitted. Late proposals will not be accepted, opened or considered. Each proposal shall include the legal name of the provider and a statement whether the provider is a sole proprietor, a partnership, a corporation or other legal entity, and shall be signed by the person or persons legally authorized to do so. 5. PROVIDER’S CONFERENCE

A provider’s conference will be held, during which providers will be afforded the opportunity to meet with County personnel and discuss the content of the RFP in further detail.

Provider’s requiring certification of the intent of this RFP or on procedural matters regarding the RFP process may request clarification by submitting written questions to Elmore County Commissioners, 150 South 4th East, Suite #3, Mountain Home, Idaho 83647. Providers may submit request or questions via mail or by facsimile to 208-587-2159 no later than 5:00 p.m., on the ____ day of ________, 2004. The request for proposals will be supplemented to include the questions submitted to the County and the County’s response to those questions.

6. PROVIDER’S COST:

Cost for developing proposals are entirely the responsibility of any party that responds to this RFP, including the provider chosen, if any, and shall not be chargeable to the County. Nor does the fact that any organization or party has responded to this RFP create a contract implied in fact or law.

8. ACCEPTANCE AND REJECTION OF PROPOSALS:

The County of Elmore reserves the right to reject any or all proposals or any part thereof and to waive any minor defects in the Proposals if this is to the advantage of the County.

The County’s decision shall be final. The County’s waiver of a minor defect shall in no way modify the RFP document or excuse the provider from full compliance with its specifications if the provider is awarded the contract. The County reserves the right to let separate contracts on any aspect of the work.

Proposals which contain false or misleading statements, or which provide references which do not support an attribute or condition contented by the provider may be rejected if, in the opinion of the County, such information was intended to mislead the County in its evaluation of the proposal, then proposal shall be rejected.

9. DISCLOSURE OF PROPOSAL:

Prior to the date set for opening of the proposals no proposals shall be handled to permit disclosure of the identity of any responder(s) or the content of any proposal to competing responders. As provided in the RFP, discussion may be conducted with responsible responder(s) who submit proposals determined to be reasonably susceptible of being selected for award. After the opening of the proposals by the County, the proposals shall be available, if requested, for public inspection.



10. SIGNATURE OF PROVIDER AGENT:

Each provider’s proposal and any clarification to that proposal shall be signed by an officer of the provider company or a designated agent empowered to bind the firm in a contract.

B. GENERAL TERMS AND CONDITIONS:


1. INTRODUCTION:

Provider’s response to each of the requirements in this section is mandatory. Failure to respond to a requirement in this section, or non-adherence to a requirement in this section, may cause the Proposal to be rejected.

2. TYPE OF CONTRACT:

The evaluation of Proposals submitted in response to this RFP may result in the issuance of a contract for County ambulance services.

The selected provider shall incorporate the terms, conditions and requirements of the RFP, the provider’s Proposal response, and all other agreements that may be reached. No increase in the rates of any costs to the County will be permitted in the final contract.

3. TERM OF CONTRACT:

The original term of this contract will be for two (2) years. Renewable for an additional two (2) years upon agreement of both parties. If either party does not intend to renew the additional two year option, they must notify the other party in writing as least 180 days in advance of the termination date of the contract.

4. TERMINATION:

The County will reserve the right to terminate the contract resulting from this request at any time the selected provider fails to carry out its provisions. Termination shall occur after the notice provided below or upon the notice of intent to not elect to renew the contract as forth above.

5. FAILURE TO PERFORM:

If the selected provider does not perform the specifications delineated in the contract or defaults on the contract in any material manner a letter explaining the deficiencies may be delivered to the provider. If deficiencies are not corrected in fifteen (15) days, the contract may be canceled.

However, if such deficiencies have the potential to seriously and adversely impact patient care and safety, such deficiencies shall be corrected within forty-eight (48) hours of receipt of notice. If the provider receives three (3) such notices during the contract, the fourth such notice shall be cause to cancel the contract, regardless of timely correction of the deficiency.

Failure by the county to issue a letter on any default or deficiency, or failure to cancel the contract after issuance of the letter shall not waive the county’s right to afterwards exercise this clause for any and all failures or defaults.

Notice of deficiency shall be given by certified mail to the office of the contractor, except that notices requiring correction within forty-eight (48) hours shall also be personally given to the provider’s manager in Elmore County.

6. EXECUTION OF CONTRACT:

It is anticipated a contract with the successful provider, if any, will be executed on or after the 1st day of October 2004.


7. GOVERNING LAWS:

The laws of the State of Idaho will govern any contract entered into between the County and the selected provider.

8. PERFORMANCE BOND:

Elmore County requires the provider to establish proof of financial responsibility in provider’s response. Such proof may be a letter from an authorized surety company, licensed to do business in the State of Idaho, stating that it is willing to issue a bond guaranteeing the provider’s financial liability in all respects to the provider’s performance on the contract.

The successful provider will be required to furnish the bond to Elmore County concurrent with the execution of the contract. Such bond shall be equal to at least six (6) month’s operating expenses under the provider’s response. The bond must guarantee the provider’s performance from the date of the contract execution up to and including the system acceptance testing and completion of contract.

9. BID SECURITY:

All proposals shall contain one (1) of the following forms of bidder’s security.

a. Cash;
b. Cashier’s check made payable to Elmore County;
c. A certified check made payable to Elmore County; or
d. A bidder’s bond executed by a qualified surety company, make payable to Elmore County.

The security shall be in an amount equal to at least five percent (5%) of the projected amount of County expenditures under a two (2) year agreement. If a bid requires no county expenditures, the provider shall contain security in an amount of at least $10,000.00. A proposal shall not be considered unless one (1) of the forms of bidder’s security is enclosed.

10. INSURANCE:

The selected provider shall be responsible for maintaining, during the life of the contract, insurance that complies with the following minimum requirements.

a. Worker’s compensation and employers’ liability: Worker’s Compensation limits according to the State of Idaho’s statutory limits.

b. The selected provider’s insurer shall agree to waive all rights of subrogation against Elmore County, their officers, officials employees and volunteers for losses arising from work performed by the selected provider for the County.

c. Comprehensive General Liability: $2,000.000 limit per single occurrence or loss with $3,000,000 aggregated limit annually for bodily injury, personal injury and property damage.

d. Automobile Liability: $2,000,000 each and every loss and/or occurrence combined single limit with automobile medical payments of $5,000 each person and $100,000 each accident and $1,000,000 uninsured/under insured motorist/no fault per each and every loss and/or occurrence combined.


The selected provider’s insurance must act as primary coverage, not excess or contributing coverage, with regard to the subject contract. The successful provider will be required to provide original certificates of insurance naming Elmore County as additional insured to the Elmore County Board of Commissioners at the time of award.

The selected provider shall include all subcontractors as insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverage for subcontractors shall be subject to all the requirements stated above.

Any deductibles or self-insured retention must be declared to and approved by Elmore County. At the option of the County the insurer shall reduce or eliminate such deductibles or self-insured retention, or the selected provider shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses.

Each insurance policy required by this RFP shall be endorsed to state that coverage shall not be suspense, voided, canceled by either party, reduced in coverage or in limits, unless agreed to, in writing, by Elmore County, upon thirty (30) days notice.

General Liability and Vehicle Liability policies are to contain, or be endorsed to contain, the following provisions.

A. Elmore County, its officers, officials, employees and volunteers are to be covered as insured as respects: liability arising out of activities performed by or on behalf of the selected provider products and operations of the provider; premises or vehicles owned, leased or used by the provider; or vehicles. Such coverage shall contain no special limitations on the scope of the protection afforded to Elmore County, its officers, officials, employees or volunteers.

B. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to Elmore County, its officers, officials, employees or volunteers.

C. The provider’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer’s liability.

Verification of Coverage:

The selected provider shall furnish Elmore County with certificates of insurance and with original endorsements affecting coverage required by the RFP. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf; the certificates and endorsements are to be approved by Elmore County before working commences. Elmore County reserves the right to require complete, certified copies of all required insurance policies, at any time.

Indemnification:

The selected provider agrees to defend, indemnify and hold harmless Elmore County and its officers, agents and employees from and against any and all claims, losses, actions, or judgements for damages or injury to persons or property arising out of or in connection with the acts and/or performances or activities or failure to so act or perform of the selected provider, its agents, employees or representatives under the contract executed pursuant to this Request for Proposal.

11. EQUAL EMPLOYMENT OPPORTUNITY

The selected provider shall comply with all provisions of federal, state and local law and regulations to ensure that no employee or applicant for employment is discriminated against due to race, religion, color, sex, marital status, age, disability, or national origin.

12. WARRANTY AGAINST CONTINGENT FEES:

The provider will agree to warrant that no person or selling agency had been employed or retained to solicit this contract upon an agreement of understanding for commission, percentage, brokerage, or contingency except bona fide employees or selling agents maintained by the provider to secure business.

13. SUBCONTRACTS:

The selected provider may not subcontract with any other provider, any portion of the maintenance service, or daily operation of the Elmore County Ambulance Service without prior written agreement with Elmore County.

14. INDEPENDENT CONTRACTOR:

The parties agree that the provider shall be the independent contractor of Elmore County, and in no way an employee or agent of Elmore County and neither the provider or any employee of the provider shall be entitled to worker’s compensation or any other benefit of employment from the county. Elmore County shall have no control over the performance of the contract entered into subsequent to this RFP by the provider or its employees, except to specify the time and place of performance, and the results to be achieved. Elmore County shall have no responsibility for security or protection or provider’s supplies or equipment. The provider agrees to pay and be responsible for all taxes due from the compensation received under this contract.

15. COMPLIANCE WITH LAW:

The provider shall, at all times, observe and comply with all federal, state, local and municipal laws, ordinances, rules and regulations in any way affecting the contract, or the work performed under the contract. Failure to comply with all such laws shall be cause to cancel the contract.



16. INDEMNIFICATION:

Provider will agree to indemnify the County from any and all claims, suits or demands for damages or injuries to any persons or property as a result or in connection with the provisions of services hereunder.

Provider will guarantee that all material and labor (provided by provider as part of the RFP response) shall be free of defects in materials or workmanship throughout the term of the contract.

C. PROVIDER INFORMATION

1. INTRODUCTION:

Elmore County is seeking the provider or firm most qualified to provide the services stated in this RFP. The various sections of this RFP are intended to provide each potential provider or firm with the opportunity to document/demonstrate its qualification.

Proposals must adhere to the structure outlined in the RFP. Proposals that do not adhere to the structure may be disqualified from review. The structure of the proposal shall be as follows:

a. Cover Letter;
b. Table of Contents;
c. Overview of Firm.

2. COVER LETTER:

a. Use your firm’s letterhead. Address the cover letter to:

b Identify the submitting firm by name, main business office, field office conducting work, and contact person.

c Identify the firm’s parent corporation by name and business location. If the firm has no parent corporation, state that this is the case. State that you have read the RFP and are prepared to comply with the contractual requirements.

d Provide any additional explanatory information you believe will be necessary or helpful.

4. OVERVIEW OF FIRM:

a. Briefly summarize the history of your firm.

b. Describe the management structure of your firm. If it is responsible to a Board of Directors, include their names, addresses, and occupations.

c. Provide evidence of your firm’s financial stability.

5. CUSTOMER REFERENCE LIST:

The provider will provide a list of customers, if any, who presently have the proposed services in operation.

Customer’s on each provider’s list (and any others the County may select) may be contacted. The customers will be interviewed regarding service in at least five areas including time lines of performance, quality of services provided, quality of equipment uses, quality of in-service training given, complaints from the public.

6. PROVIDER FINANCIAL REPORT:

The provider must provide a copy of the provider’s most recent corporation annual report. If no annual report is available, the provider must provide the latest audited financial report prepared by a certified public accountant.


If this information is considered confidential by the provider, it will be clearly labeled as such and presented in a separate sealed envelope within the RFP response package.

7. PROJECT SCHEDULE:

The respondent must provide a detailed plan for start-up and implementation of the services. This implementation plan must include all tasks required by both Elmore County and the provider, covering the period from notification of contract award through the full implementation of the services.

PROJECT MANAGER: Upon acceptance of the proposal, the provider shall assign a Project Manager to serve as liaison. The project manager shall be responsible for overseeing all aspects of the provider’s participation and providing all project documents and reports.

8. RATE SCHEDULE:

The provider shall provide with its response, a copy of its proposed rate schedule for all types of ambulance services to be offered. THE PROPOSED RATE SCHEDULE MUST BE ADOPTED BY THE PROVIDER AT COMMENCEMENT OF SERVICES. The provider shall also provide copies of rates actually charged for other ambulance services it operates. After commencement of the contract, the county and provider may agree to a rate adjustment no more than once per year, unless actions by the state or federal government cause unforseen increases in the provider’s cost of operations. If there are such unforseen governmentally caused expenses, any increase in fees shall be limited to those expenses.

D. MINIMUM SPECIFIC REQUIREMENTS

1. INTRODUCTION:

Provider response to the following requirements in this section is mandatory. Failure to respond to a requirement in this section, or non-adherence to a requirement in this section, may cause the Proposal to be rejected.

2. SERVICE:

a. Non-Emergency

Non-emergency transport to and from health care facilities: Provider may reach an agreement with the local health care providers for non-emergency inter-facility transfers. This RFP is not intended to require the Provider to provide non-reimbursable services to any health care facility.

As a community relations function, the service provider should consider sending non-dedicated ambulance personal and equipment to the following community events at no cost to the County or the event organizers: County Fair, High School Sporting Events, Air Force Appreciation Day, Three Island Crossing and other public sponsored events as needed. Elmore County will consider the community relations agreement when considering awarding the contract to a specific service provider.

Non-emergency services however, shall not compromise or deteriorate the provision of emergency services required under this contract.

b Emergency:

Emergency response and transport service to include: 9-1-1 requests, requests received directly to the ambulance service, and requests from hospital emergency rooms, critical transport to other health care facilities, arrangement of aeromedical service as needed, landing site preparation, patient transport to aircraft, and any duly authorized county or state emergency services agency.

3. OPERATIONS:

A. The service must respond to all calls at the time of dispatch regardless of the necessity of transport or ability to charge for the service - for example:

1. Ability to respond when accidents are reported by the highway patrol even though patients are not transported and, therefore, remuneration not available.

2. Ability to respond to fire department and/or sheriff request to a scene when patients are not transported and remuneration is not available.

3. Ability to respond to emergency calls at homes, businesses, agriculture locations, etc., when patients refuse service and remuneration is not available.

B. Personnel

There shall be at least three (3) crews to respond to emergency call 24 hours a day, 365 days a year and have the minimum qualification.

2. There shall be two (2) ambulances based in Glenns Ferry, and three (3) ambulances based in Mountain Home,

The ambulance must have a two (2) person crew, one of whom shall be a state certified Advanced Emergency Medical Technician Ambulance (AEMT-A) or Emergency Medical Technician Paramedic (EMT-P) and one a state certified Emergency Medical Technician Basic (EMT-B).

2. A second ambulance must be able to respond second; and consist of two personnel, one state certified Advanced Emergency Medical Technician Ambulance (AEMT-A) or Emergency Medical Technician Paramedic (EMT-P) or Emergency Medical Technician Basic (EMT-B). The second response ambulance may respond from either Mt. Home or Glenns Ferry.

3. A third response ambulance must be able to respond as needed and shall include at least one state certified Advanced Emergency Medical Technician Ambulance (AEMT-A) or Emergency Medical Technical Paramedic (EMT-P).

C. Equipment to be provided:

There must be five (5) ambulances that are licensed in the State of Idaho, and must meet all State of Idaho Specifications for equipment on board for the level of service provided. All five (5) ambulances must be based within Elmore County.

The provider shall be solely responsible for maintenance on ambulances and all other equipment utilized by the service.


The current provider shall transfer all consumable supplies to the successful provider at the commencement of the contract. The provider shall be required to keep an inventory of such items, and at the end of the contract term, or when the contract is otherwise ended, to leave a like inventory in the possession of the county.

The provider shall provide outlying volunteer ambulance QRU services in the county with supplies as needed at cost to be reimbursed by the County if necessary.

Ambulance and facilities are required to be able to communicate with the Elmore County Sheriff’s office and 911 system.

D. Facilities to be provided:

The provider is required to maintain and pay for facilities, with ambulances, in both Mountain Home and Glenns Ferry.

E. Quality Assurance:

• A physician licensed in the State of Idaho shall act as medical Director to oversee Quality Assurance for Ambulance Services.

• Patient charts shall be reviewed for quality management of care. Trends shall be identified and acted upon to ensure positive patient outcome. The trends shall be reported to the Elmore County Commissioners or their designee.


F. The provider shall bill all patients receiving transport on a uniform schedule approved by the County. The provider shall provide a system to bill and collect those fees for services rendered to patients. Such collection, if necessary, shall also include seeking reimbursement from Medicaid or other state or federal assistance programs.

The provider may furnish, at not cost, billing and collection services for volunteer extrication or emergency response groups operating within Elmore County under agreements with those groups.

The provider shall also seek and apply for grants and financial assistance. It shall seek such grants and assistance for itself and volunteer emergency medical services in Elmore County.

4. SERVICE AREA:

The emergency service are shall be all of Elmore County and any area that Elmore County has an emergency response agreement. The provider shall cooperate with volunteer services and coordinate response and transportation with those volunteer agencies and respond to their requests for assistance as needed. In any event, the provider shall not refuse to respond to any area within Elmore County.

The service area shall also cover non-emergency transports to Boise, Twin Falls and other destinations. Provided, that non-emergency transport shall not adversely affect provision of emergency services by the provider.

5. CONTINUING EDUCATION:


All employees shall maintain all proper licensing.

6. MEDICAL CONTROL:

Provider shall provide medical control with contract on the same frequency as the Elmore County Sheriff’s Department. The provider shall provide such medical control for basic EMT’s with volunteer emergency medical services in the county as well as basic EMTs employed by the provider.

7. MONTHLY REPORTS:

The provider shall furnish the County with monthly reports containing as a minimum:

• Total number of responses per month.
• Total number of emergency transport to hospital.
• Number of non-emergency transports.
• Number of critical care transports from hospital to other health facility.
• Number of stand-by services for community events.
• Report on status of equipment (new purchases, trade-ins, mileage, etc)
• Report on trends in services provided compared to previous months and projections of services needed.

The provider shall allow a representative of the county to inspect all operations and facilities of the provider. The provider shall allow the county representative to ride along on ambulance responses.

8. COMPENSATION REQUIRED AND PAYMENT FOR SERVICES:

The response to the RFP shall contain, in a separate sealed envelope, a statement of the required annual compensation to the provider for provision of the services, by year for a period of two (2) years under the initial contract, and for two (2) additional years if renewed at the parties’ option. The envelope containing the required annual compensation shall be opened and evaluated after the evaluation of other categories required by this RFP is complete.

Payments to provider from County shall be made on a monthly basis at 1/12th of the annual agreed upon compensation.

9. ACCEPTANCE OF WORK:

Elmore County will perform a final inspection with the provider to verify compliance. All tasks and RFP requirements must be completed to the County’s satisfaction.

E. EVALUATION PROCESS

1. INTRODUCTION:

All proposals received in response to this RFP will be evaluated by a team of representatives in the County, and others if deemed necessary and appropriate, to review all proposals meeting the criteria of the RFP. Each proposal will be evaluated to determine the provider’s responsiveness to the facility’s needs. All proposals will be evaluated impartially and objectively based on a total possible points of 100 as follows:

a. Provider Qualifications/Background/References 30 points
b. Proposed Program Quality/Response 30 points
c. Cost of Services 40 points


2. PROPOSAL OPENING AND VALIDATION CHECK:

All proposals received by 5:00 p.m. on the _____th day of _________, 2004, will be opened. The proposal opening will occur at the Commissioner’s meeting on _________________, 2004 at 10:00 a.m.

3. VALIDATION AGAINST REQUIREMENTS

All proposals submitted will be checked in detail for compliance with the mandatory requirements set forth in this RFP.

During the validation process the County may find it necessary to request additional information from the provider.

4. COMPLIANCE

Each proposal will be evaluated to determine its responsiveness to the requirements specified in this RFP.

To determine the best proposal response the County may consider, but is not necessarily limited to, the following factors:

* Responsiveness to the requirements
* Ability of the proposal response to accomplish the desired results
* Reference evaluation
* The ability, capability and skill of the provider to perform the contract or provide the service required.
* Whether the provider can perform the contract or provide the service promptly or within the time specified, without delay or interference.
* The character, integrity, reputation, judgement, and efficiency of the provider
* The number and scope of conditions attached to the proposal
* Compensation rate required.

5. CORRECTION OF ERROR:

If errors are found in a proposal, the County may reject the proposal; however, the County may at its sole option, correct arithmetic or transposition errors on the basis that the lowest level of detail will prevail in any discrepancy.

In the event of a discrepancy between the quantities cited in the narrative description and proposed contract quantities and information submitted for evaluation purposes, the quantities cited in the narrative shall govern the extensions and summarization shall re-compute accordingly.


If there is an obvious misstatement of Compensation requirements it will not be changed. THEREFORE, IT IS ABSOLUTELY ESSENTIAL THE PROVIDER CAREFULLY REVIEW COMPENSATION ELEMENT OF THE PROPOSAL, SINCE THERE WILL BE NO OPTION TO CHANGE IT.

6. SELECTION

The provider selected will be the provider which proposes the best overall solution of providing ambulance services to Elmore County, subject to the provisions contained in the requirements for RFP’s. The County intends to award a contract to the provider meeting the specifications for this RFP and in accordance with the evaluation process contained herein and whose proposal complies with all the requirements of this RFP.

The County reserves the right to make an award without further negotiations with the apparent successful provider. Therefore, proposals should be submitted with the most favorable terms the provider can offer.

Proposals should reflect the terms under which the provider is prepared to meet the requirements of the RFP.



7. AWARD ON CONTRACT:

The successful provider will be selected based upon the proposal which complies with the requirements of this RFP, and addenda thereto, and any additional RFP documents, except for such immaterial deviation such as may be waived by the County. Written notification of the selection will be made to all providers who submitted a proposal, on the ______ day of _____________, 2004.

If the successful provider refuses or fails to execute the contract, the County may award the contract to another provider whose proposal complies with all the requirements of this RFP and any addenda thereto as well as pursue its legal remedies against the successful provider. The period of time within which such award of contract may be made shall be subject to written agreement between the County and the provider concerned.
